Terms of Service

Last updated: April 20, 2026

1. Acceptance & Eligibility

By accessing or using Coldsea Deploy (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree not to share your credentials with any third party.

You are responsible for all activity that occurs under your account, whether or not authorized by you. You must notify us immediately at legal@coldsea.io if you suspect unauthorized access to your account.

3. The Service

Coldsea Deploy is a software-as-a-service (SaaS) platform for Windows deployment automation. The Service is provided on a best-effort basis. We do not offer a service level agreement (SLA) unless separately agreed to in writing.

We reserve the right to modify, suspend, or discontinue any features of the Service at any time. We will make reasonable efforts to provide advance notice of material changes.

4. Acceptable Use

You agree not to use the Service to:

  • Engage in any illegal activity or violate applicable laws or regulations
  • Reverse engineer, decompile, or attempt to extract the source code of the platform
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure
  • Store, transmit, or process sensitive personal data (such as health records, financial account numbers, or government-issued IDs) without appropriate safeguards
  • Upload or execute malicious scripts or code intended to harm systems or users

You are solely responsible for the scripts, configurations, and automation workflows you create and execute through the Service. Coldsea LLC is not liable for any damage caused by user-authored scripts or commands.

5. Intellectual Property

Coldsea LLC owns all rights, title, and interest in and to the Service, including all software, designs, trademarks, and documentation. Nothing in these Terms transfers any ownership rights to you.

You retain ownership of all content, scripts, and configurations you create and upload to the Service ("User Content"). By using the Service, you grant Coldsea LLC a limited, non-exclusive, royalty-free license to host, store, and process your User Content solely as necessary to provide the Service to you.

6. Payment & Billing

Paid plans are billed on a recurring subscription basis (monthly or annually, as selected). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

All fees are non-refundable. We do not provide partial refunds for unused portions of a billing period. If you cancel your subscription, you will retain access to the Service through the end of your current paid period.

We will provide at least 30 days' advance notice before any changes to pricing take effect. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Coldsea LLC's total liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total fees you paid to us in the 12 months preceding the claim.

In no event shall Coldsea LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Coldsea LLC is not responsible for any damage, data loss, or system disruption caused by scripts, commands, or workflows authored and executed by you through the Service.

8. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.

Notwithstanding the foregoing, either party may bring claims in small claims court if the dispute qualifies. You and Coldsea LLC each waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms and any disputes arising hereunder shall be governed by the laws of the State of Georgia, without regard to its conflict of law provisions. Any arbitration or court proceedings shall take place in Georgia.

9. Termination

You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

Coldsea LLC may suspend or terminate your account immediately for material violations of these Terms, including but not limited to prohibited or illegal use of the Service.

Upon termination or cancellation, you will have 30 days to export your data. After that period, your data may be deleted. In the event that Coldsea LLC shuts down the Service entirely, we will provide at least 90 days' advance notice to allow you to export your data.

10. Modifications

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
